The Board of Directors of Medidata Solutions, Inc. (the "Company") sets high standards for the Company's employees, officers and directors. Implicit in this philosophy is the importance of sound corporate governance. It is the duty of the Board of Directors to serve as a prudent fiduciary for shareholders and to oversee the management of the Company's business. To fulfill its responsibilities and to discharge its duty, the Board of Directors follows the procedures and standards that are set forth in these guidelines. These guidelines are subject to modification from time to time as the Board of Directors deems appropriate in the best interests of the Company or as required by applicable laws and regulations.

Medidata's Code of Business Conduct & Ethics (the "Code"), adopted in 2008 and first amended in 2009, sets requirements for business conduct and serves as a foundation for Medidata's policies, procedures and guidelines, all of which provide additional guidance on expected behaviors. All employees, officers and directors of Medidata Solutions, Inc. or any of its subsidiaries (collectively, "Medidata") are subject to the Code. The Code is a reflection of Medidata's core values and ensures that we hold ourselves and how we do business to a high standard. The board of directors of Medidata Solutions, Inc. approved amendments to the Code effective July 31, 2017. These amendments serve to improve the Code's design and readability; more prominently highlight Medidata's core values; and clarify, update or enhance certain provisions.
